Terms of service

  1. Introduction
    Welcome to Chatif AI Application and Services (“CIFI, “We”, “Us” and “Our”), a web3 messaging platform designed to facilitate communication through cutting-edge blockchain technology. Our services include group chat, one-to-one messaging, and cross-chain communications, all integrated through a secure and user-friendly interface.

     

    We are incorporated in Dubai, UAE, and aim to serve a global audience, leveraging blockchain to provide enhanced privacy, security, and functionality tailored specifically for the web3 ecosystem.

    By accessing or using any part of our service, you agree to be bound by these terms of Service (“Terms”). These terms govern your access to and use of our website, applications, and services (collectively, “Service”). They also include important information about your legal rights, remedies, and obligations. By using the Service, you signify that you have read, understood, and agree to be bound by both these terms and our Privacy Policy. If you do not agree to these terms, you must not use our services.

    These terms also detail the expected legal compliance from users, the ownership of content, privacy practices, and the management of the digital data and blockchain interactions that underpin our platform’s functionality. Please read these terms carefully, as they include information about future changes to the terms, limitations of liability, a disclaimer of warranties, and a dispute resolution clause.

  2. Definitions

    “User” refers to any individual or entity that registers, accesses, or uses our Service in any manner, whether or not they create an account that involves the submission of personal information.
    “Content” encompasses all forms of data, including text, images, links, and other materials that Users may share through our Service.
    “Wallet” refers to the blockchain wallet through which Users access our Service, involving various functionalities enabled by blockchain technology.
    “Smart Contract” relates to the blockchain-based contracts that may be used within our platform to facilitate certain features, like group chats or transactions.
    “Service” collectively refers to all functionality, applications, information, and services provided by CIFI through any medium, including the website and mobile applications.

  3. Eligibility and Access
    To use the Service, you must be the legal age of majority in your jurisdiction if it is older, to ensure full legal capacity to enter into contracts.

    Access to certain features of the Service might require the creation of an account, where you will need to provide your blockchain wallet address. No other personal information is mandatory, although additional details like a profile picture, name, and username may be optionally provided.

    Users are responsible for maintaining the security of their account and the confidentiality of any actions performed under their account, including the use of their wallet and private keys.

  4. Platform Services & Disclaimer
  • Core Services: Our platform offers a variety of communication services, including one-to-one messaging, group chats, and the ability to engage in cross-chain communications using web3 technologies.
  • Content Sharing: Users can share text, images, and links within messages. These capabilities are designed to support robust and flexible interactions among users.
  • General Disclaimer: CIFI is not a financial advisor. The Services provided by us do not constitute financial advice, investment advice, trading advice, or any other sort of advice, and you should not treat any of the Service’s content as such. CIFI does not recommend that any cryptocurrency should be bought, sold, or held by you. Before making the decision to buy, sell, or hold any cryptocurrency, you should conduct your own due diligence and consult your financial advisors before making any investment decision. We will not be held responsible for the decisions you make to buy, sell, or hold cryptocurrency based on the information provided by our Service. Further, CIFI shall not be liable for any type of financial losses or damages you may face as a result of using our platform to engage in cryptocurrency transactions.

     

  1. User Responsibilities
  • Users are expected to use the Service responsibly and lawfully, respecting the rights of others, and not engaging in any activity that could harm CIFI or its users.
  • Prohibited activities include, but are not limited to, using the Service for any unlawful purposes, infringing on the intellectual property rights of others, spreading malware or viruses, or conducting fraudulent activities.

     

  1. Content Ownership and Rights
  • Users retain ownership of the content they generate and share on the platform. However, by sharing content, Users grant CIFI a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods currently known or later developed.
  • CIFI does not claim any ownership rights in any User-generated content and merely facilitates the sharing of such content through the Service.

     

  1. Intellectual Property
  • All intellectual property rights in the Service, including the design, graphics, user interface, and underlying technology, are owned by or licensed to CIFI.
  • Users are granted a limited, non-exclusive, revocable, non-transferable license to use the Service in accordance with these terms. This license does not include any rights to resell the Service, misuse the Service’s technology, or use the Service beyond the intended features explicitly provided by Chatif.

     

  1. Data Collection and Use
  • Mandatory Information: By using our Service, a user’s blockchain wallet address is automatically collected upon connection. This is essential for identifying users and facilitating interactions within the platform.
  • Optional Information: Users may optionally provide additional information such as a profile picture, name, and username to enhance their profile and interaction within the Service.
  • Technical Data: The Service automatically collects various types of technical information including IP address, device information (such as model, MAC address, operating system, screen resolution, and type), browser type and version, and usage metrics like session durations, page views, and click events. This information is crucial for ensuring compatibility, enhancing service security, and improving overall user experience.

     

  1. User Privacy and Data Protection
  • We are committed to protecting the privacy and security of its users. All data collected, whether mandatory or optional, is treated with the highest standard of security as outlined in our Privacy Policy.

  1. Blockchain Interaction
  • Wallet and Smart Contract Data: Users interact with our Service primarily through blockchain wallets. The wallet addresses are used to identify users and enable functionalities such as creating and joining group chats. Smart contract addresses collected are used to link group chats and enhance the platform’s search and listing features.
  • Wallet Addresses and Usage: Your blockchain wallet address serves as your unique identifier on our platform. When you connect your wallet, we collect your wallet address to enable core functionalities like creating your user profile, facilitating group chats, and managing your interactions with projects connected to smart contracts.
  • Data Use: The blockchain data, including wallet and smart contract addresses, is integral to the operation of our Service and is used strictly in accordance with these terms.
  • Data Retention: Wallet addresses are retained in user profiles until such profiles are deleted by users. Smart contract data is used for the duration of its relevance to the Service and is disposed of in accordance with our data retention policy.

     

  1. Third-Party Links and Services
  • Our Service may contain links to third-party websites or services that are not owned or controlled by CIFI. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
  • We encourage our users to be aware when they leave our Service and to read the terms and privacy policy of any third-party website or service that they visit.

     

  1. Payments and Monetization

    Our current Service does not include paid features. However, future updates to our Service may introduce premium features, subscriptions, or other monetization models to provide additional value and an enhanced user experience. Users will be notified well in advance, and additional terms may apply.

    We are committed to introducing any future monetization strategies in a transparent manner, in full compliance with applicable laws, and with a focus on providing excellent value to our users.

  2. Modifications to the Service
  • CIFI reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Users agree that we will not be liable to them or to any third party for any modification, suspension, or discontinuance of the Service.
  • Regular updates to our Service are part of our effort to improve the experience and capabilities offered to our users. Any significant changes affecting user rights or responsibilities will be communicated appropriately.

     

  1. Account Suspension and Termination
  • We may suspend or terminate a user’s account if there are reasonable grounds to believe that the user has violated these terms, engaged in illegal activities, or acted in a manner that is detrimental to the safety or property of CIFI, its users, or others.
  •  In the event of suspension or termination, users will be notified and given an opportunity to contest the decision or rectify the issue if possible.
  • Upon termination, all rights granted to the user under these terms will immediately cease and the user must cease all use of the Service.  The company may enforce termination through technical means, including blocking the user’s IP address, MAC address, or associated wallet addresses.

     

  1. Dispute Resolution

    We encourage users to contact our customer support team for any questions, concerns, or disputes related to the use of our Service. Our team will work diligently to address your concerns and find fair resolutions.

    To protect the integrity of our platform and the experience of our users, we may take action to restrict or block access for users who violate our terms of Service or engage in harmful behavior.  This may include technical measures such as IP or wallet address blocking.

  2. Limitations of Liability
  • CIFI and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
  • Cap on Liability: Our liability to you for any damages arising from or related to this agreement (for any cause whatsoever and regardless of the form of the action), will at all times be limited to the greater of fifty dollars ($50) or the amounts you have paid to Chatif in the past twelve months.

     

  1. Indemnification
  • You agree to defend, indemnify, and hold harmless CIFI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these terms, or c) Content posted on the Service.

     

  1. Confidentiality
  • As a user of CIFI, you may receive information that is considered confidential and proprietary to us, including secret business practices, technical know-how, and product information. You agree to maintain the confidentiality of all such information and not disclose it to any third party without the prior written consent of CIFI.

     

  1. Security
  • We take the security of our platform and the privacy of our users very seriously. We implement robust security measures to protect user data and ensure the integrity of our Service. However, no internet-based service is entirely secure, so we cannot guarantee that information on our service will be completely secure from unauthorized access by third parties.
  • Users are responsible for maintaining the confidentiality of their private keys and account information and are advised to manage their digital wallet securely.

     

  1. Warranties and Disclaimers
  • We provide the Service on an “as is” and “as available” basis, and your use of the Service is at your own risk. We expressly disclaim any and all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any errors will be corrected.

     

  1. Force Majeure
  • CIFI shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.

     

  1. Advertising and Promotions
  • Advertisements: CIFI may display advertisements and promotions from third parties on or through the Service. The manner, mode, and extent of advertising by CIFI are subject to change without specific notice to you.
  • User Involvement: Users may be invited to participate in promotional activities on the Service. Any promotions are subject to additional terms and conditions that will be made available to you at the time of such activities.

     

  1. Amendments to the Terms
  • CIFI reserves the right to modify or replace these terms at any time. We will do our best to provide at least 30 days’ notice prior to any new material terms taking effect. What constitutes a material change will be determined at our sole discretion.
  • By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

     

  1. Governing Law
  • These terms shall be governed and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law provisions.
  • Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. If any provision of these terms is held to be invalid or unenforceable by a court, the remaining provisions of these terms will remain in effect.

     

  1. Severability
  • If any provision of these terms is held to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, such provision shall be modified to reflect the parties’ intention or eliminated to the minimum extent such that the remaining provisions of the terms will continue in full force and effect.

     

  1. Termination of Services
  • CIFI may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the terms.
  • All provisions of the terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

     

  1. Feedback and Suggestions
  • CIFI welcomes feedback, comments, ideas, improvements, or suggestions (“Feedback”) from its users. By submitting Feedback, you agree that your disclosure is gratuitous, unsolicited, and without restriction and will not place CIFI under any fiduciary or other obligation.
  • You acknowledge that, by acceptance of your submission, CIFI does not waive any rights to use similar or related ideas previously known to CIFI, developed by its employees, or obtained from sources other than you.

     

  1. Reporting Misuse
  • If you observe any misuse of the Service or any act or content that breaches these terms, please report this to us. CIFI takes such reports seriously and will investigate and take appropriate action in line with our policies.

  • Chatif uses cookies and similar tracking technologies to track the activity on our Service and hold certain information.
  • You can instruct your browser to refuse all cookies or to indicate when a cookie is being sent. However, if you do not accept cookies, you may not be able to use our Service.
